2. Services Description
ANUBRIS (PRIVATE) LIMITED provides a comprehensive range of technology services, including but not limited to:
- IT Services: Managed IT, co-managed IT, IT support, infrastructure management, communications, and business continuity.
- Cloud & DevOps: Cloud migration and management (AWS, Azure, GCP), DevOps automation, and custom software development.
- Security: Cybersecurity assessments, SecOps and SOC services, compliance consulting, and security awareness training.
- AI Solutions: AI infrastructure deployment, automation, custom AI application development, and integration consulting.
- Software Products: Proprietary SaaS products including Telnety, BedShift, and Agrixia.
- Advisory: IT strategy consulting, technology advisory, and digital transformation planning.
Specific service deliverables, timelines, and scope are defined in individual service agreements or statements of work executed between Anubris and the client.
3. User Accounts and Responsibilities
For certain services or products, you may be required to create an account. When you do, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate and complete.
- Maintain the security of your account credentials and not share them with third parties.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use of your account.
You agree not to use our services for any unlawful purpose, to attempt to gain unauthorized access to our systems, or to interfere with the proper functioning of our services.
4. Intellectual Property
All content, materials, software, designs, logos, trademarks, and other intellectual property on our website and in our services are the property of ANUBRIS (PRIVATE) LIMITED or its licensors and are protected by applicable intellectual property laws.
Unless otherwise specified in a separate written agreement:
- Custom software developed for clients is subject to the intellectual property provisions in the applicable service agreement.
- Anubris retains ownership of all proprietary tools, frameworks, methodologies, and general know-how developed during service delivery.
- You may not copy, modify, distribute, or create derivative works from our materials without prior written consent.
5. Payment Terms
5.1 Merchant of Record
All purchases of software products and subscriptions (including BedShift, Telnety, and Agrixia) are processed by Paddle.com Market Limited ("Paddle"), which acts as the Merchant of Record for these transactions. By purchasing any product, you agree to Paddle's Terms of Service and Privacy Policy.
Paddle is responsible for processing payments, handling billing, collecting applicable taxes (including VAT/GST), issuing invoices and receipts, and managing payment disputes and chargebacks on our behalf.
5.2 Subscriptions & Billing
- Subscription plans are billed monthly or annually as selected at the time of purchase.
- Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
- You can upgrade, downgrade, or cancel your subscription at any time through your account dashboard or by contacting us at admin@anubris.com.
- All fees are quoted in the currency specified in the product listing (typically PKR or USD).
- Paddle handles tax calculation and collection based on your location — prices shown may be exclusive of applicable taxes.
5.3 IT Services Payment
For IT services and consulting engagements (not processed via Paddle):
- Fees are as quoted in the applicable proposal or service agreement.
- Payment is due within the timeframe specified in the invoice (typically net-30 days unless otherwise agreed).
- Late payments may incur a late fee of 2% per month on the outstanding balance.
- Anubris reserves the right to suspend services for accounts with overdue payments exceeding 60 days.
6. Service Level Agreements
For managed services and ongoing engagements, service levels are defined in the individual Service Level Agreement (SLA) attached to the service contract. General commitments include:
- Response times based on priority levels defined in the SLA.
- Uptime guarantees as specified in the applicable service agreement.
- Regular reporting and review meetings as agreed upon.
- Escalation procedures for unresolved issues.
SLA credits, if applicable, are defined in the individual service agreement and represent the sole remedy for SLA breaches.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- ANUBRIS (PRIVATE) LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- Our total cumulative liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to Anubris in the twelve (12) months preceding the claim.
- We do not warrant that our services will be uninterrupted, error-free, or free from harmful components.
Services are provided “as is” and “as available” unless a specific warranty is provided in the service agreement.
8. Indemnification
You agree to indemnify, defend, and hold harmless ANUBRIS (PRIVATE) LIMITED, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you provide to us in connection with our services.
9. Termination
Either party may terminate the service relationship as follows:
- By the Client: You may terminate services by providing written notice as specified in your service agreement (typically 30 days for month-to-month services).
- By Anubris: We may terminate or suspend access to our services immediately if you breach these Terms, fail to pay outstanding invoices, or engage in conduct that may harm our systems or reputation.
- Effect of Termination: Upon termination, your right to use our services ceases immediately. We will provide reasonable assistance in transitioning your data and services, subject to payment of any outstanding fees.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law provisions. Any legal proceedings arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Lahore, Pakistan.
11. Dispute Resolution
In the event of any dispute arising from or relating to these Terms or our services:
- Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation within 30 days of written notice.
- Mediation: If negotiation fails, the parties agree to attempt mediation administered by a mutually agreed mediator in Lahore, Pakistan.
- Arbitration: If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in Lahore, Pakistan, in accordance with the Arbitration Act, 1940 of Pakistan.
12. Changes to Terms
ANUBRIS (PRIVATE) LIMITED reserves the right to modify these Terms at any time. We will notify users of material changes by updating the “Last updated” date and, where appropriate, by posting a notice on our website. Continued use of our services after changes take effect constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
